Welcome to CHCANYS Learning™, where education is healthy. CHCANYS Learning is owned and operated by Community Health Care Association of New York State (“Company” or “we”).
The following Terms & Conditions, together with our Privacy Policy (collectively, "Terms & Conditions") govern your access to and use of the Company’s website courses.chcanys.org, mobile application, tablet application, and technology platform, including any content, functionality, and services offered on or through such website, applications, and platform (collectively, "CHCANYS Learning"). As a user of CHCANYS Learning, “you” refers to you, a visitor of CHCANYS Learning.
Please read the Terms & Conditions carefully before you start to use CHCANYS Learning. By clicking to “accept” or “agree” to the Terms & Conditions, you represent that you are at least of Minimum Age. “Minimum Age” means the age at which you are able to lawfully enter into a binding contract without parental/guardian consent. Generally the Minimum Age is 16 years old, but your local laws may define the age to be older. If you find these Terms & Conditions to be unacceptable, your only recourse it to immediately terminate your use of CHCANYS Learning.
The Company may update these Terms & Conditions at any time upon prior written notice (typically by email). Your continued use of CHCANYS Learning after our written notice signals your acceptance to continue to be bound by these Terms & Conditions.
1. Payment, Account, and Registration
1.1. You shall pay all fees and charges incurred through your account at the rates in effect for the billing period in which such fees and charges are incurred. You shall pay all applicable taxes relating to the use of CHCANYS Learning through your account.
1.2. You will provide us with a valid and updated form of payment that is acceptable to us. Forms of payment include credit card.
1.3. We reserve the right to withdraw or amend any courses we provide on the CHCANYS Learning, in our sole discretion without notice. We will not be liable if for any reason all or any part of the CHCANYS Learning is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the CHCANYS Learning, or the entire CHCANYS Learning, to users, including registered users.
1.4. As part of the registration process, you may be asked for certain information personal information such as your full name and email address. You may also be asked questions profession and place of employment. It is a condition of your use of CHCANYS Learning that all the information you provide is correct, current, and complete.
1.5. You will be responsible for maintaining the confidentiality of your password. You never will be required to reveal your password to any representative or agent of CHCANYS Learning, its owners or agents.
1.6. You agree that all information you provide to register with CHCANYS Learning is governed by our Privacy Policy (see below), and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
1.7. Registration done through third-party sources such as Apple and Google will be governed by their authentication policies.
1.8. You shall notify us by e-mail at support@chcanys.org of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of your password or account information.
1.9. You may request to deactivate/cancel your account at any time by contacting support@chcanys.org.
1.10. We have the right to disable any account at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms & Conditions
2. Access and Usage of CHCANYS Learning
2.1. We reserve the right to withdraw or amend CHCANYS Learning in our sole discretion without notice. We will not be liable if for any reason all or any parts of CHCANYS Learning is unavailable at any time or for any period.
2.2. You may only use CHCANYS Learning for your personal and educational purposes only. Any other use of CHCANYS Learning is strictly prohibited.
2.3. Courses available on CHCANYS Learning may be downloaded using third-party applications.
2.4. You acknowledge and agree that we may limit your access to any and all courses if you opt to cancel your account or we, in our sole discretion, find a reasonable basis to terminate your account.
2.5. Your right to use CHCANYS Learning is not transferrable. Any password or right given to you to access any course or content is not transferable.
3. Live Webcast or Event Cancellation/Postponement
3.1. If a live webcast or event must be postponed or cancelled for any reason, including inclement weather, every effort will be made to notify you via phone number or email address. If an event is to be rescheduled, you will be notified of the new course date. You will have the option to (1) attend the course at the new time, or (2) request that your entire course fee (if any) be credited toward a different live or self-study course. Note, no refunds will be granted for live courses that are rescheduled due to inclement weather.
4. Email and Public Communications
4.1. You agree we may communicate with you for any purpose, including but not limited to product updates, service announcements, and marketing messages through CHCANYS Learning.
4.2. "Forum" means discussion boards, integrated chat features (e.g. zoom), e-mails, or other types of communications to us and/or other users, and messages posted in connection with courses on CHCANYS Learning. Any communication you post through Forum is subject to our Code of Conduct (See Section 5).
4.3. The Forums shall be used only in a noncommercial manner. You shall not, without our express approval, distribute or otherwise publish any material containing any solicitation of funds, promotion, advertising, or solicitation for goods or services. You specifically acknowledge that soliciting other users of CHCANYS Learning to join or become members of any commercial online or offline service or other organization is expressly prohibited.
4.4. In general, we will not monitor or edit the contents of Forum materials unless required in the course of normal maintenance of CHCANYS Learning or unless required to do so by law or in the good-faith belief that such action is necessary to: (1) comply with the law or comply with legal process served on us or CHCANYS Learning; (2) protect and defend our legitimate business interests, rights or property and its users, advertisers, customers, sponsors, advertisers or affiliates; or (3) act in an emergency to protect the personal safety of our guests or the public. You are solely responsible for the content of your communications.
4.5. You acknowledge that we have the right but not the obligation to monitor and edit or remove any Forum communications and content.
4.6. By uploading materials to any Forum or submitting any materials to us, you automatically grant (or warrant that the owner of such rights has expressly granted) us a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute such materials or incorporate such materials into any form, medium, or technology now known or later developed throughout the universe. In addition, you warrant that all so-called "moral rights" in those materials have been waived.
5. Code of Conduct for Users, Your Responsibility, and Our Response to Unacceptable Activity
5.1. You agree not to use any or all parts of CHCANYS Learning, including its content, functionality, or services, and any website created through CHCANYS Learning, for any non-acceptable, illegal, not legitimate, and/or a prohibited use.
5.2. You agree that all communications between you & us through CHCANYS Learning must be conducted in a courteous and respectful manner. Any aggressive, threatening, offensive, disturbing, excessive, discriminatory, obscene, calumnious, hateful, or disrespectful communication between you and another user, whether explicit or implied, may cause us to take punitive action, which may include a permanent ban, solely at our discretion.
5.3. Non-Acceptable and Prohibited Uses. You must abstain from the following or risk temporary or permanent suspension of/through CHCANYS Learning:
● Using CHCANYS Learning for any purpose other than which it is intended.
● Attempting to impersonate any person.
● Using identifying information in any way that could be considered defamatory, threatening, aggressive, hateful, insulting, calumnious, discriminatory, obscene, or disrespectful.
● Removing any proprietary notice or label on any labeled content (e.g. notice of intellectual property rights).
● Using for the purpose of exploiting, harming, or attempting to exploit or harm minors.
● Obtaining any unauthorized user information (e.g. profile) for any purpose.
● Obtaining and/or compiling statistical information from CHCANYS Learning concerning CHCANYS Learning, CHCANYS Learning users, user data, or otherwise.
● Introducing any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
● Using CHCANYS Learning in conjunction with any device or service designed to circumvent technological measures employed to control access to, or the rights in, any user profile.
● Using CHCANYS Learning in any manner that could disable, overburden, damage, or impair CHCANYS Learning or interfere with any other party’s use of CHCANYS Learning.
● Using CHCANYS Learning for advertising, trading of goods or services, or other commercial use except as permitted by CHCANYS Learning.
● Uploading any programs that may cause a disruption to CHCANYS Learning.
● Taking any action that violates the laws of applicable local, state, federal or international governmental bodies.
5.4. No CHCANYS Learning Content (as defined in Section 4) may be copied, reproduced, framed, hyperlinked, republished, downloaded, uploaded, posted, transmitted, or distributed in any way; provided, however, you may download, where specifically permitted, one copy of the CHCANYS Learning Content on any single computer for your personal, non- commercial use only, provided you keep intact all copyright and other proprietary notices. Copying or storing of any CHCANYS Learning Content for other than personal use is expressly prohibited without prior permission from us, or the copyright holder identified in the copyright notice contained in the CHCANYS Learning Content.
5.5. If you have conducted any fraudulent, illegitimate, or any unauthorized activity, CHCANYS Learning reserves the right to take any necessary legal action and you may be liable for monetary losses to CHCANYS Learning, including litigation costs and damages.
5.6. The Company will cooperate with any and all appropriate legal authorities in investigating claims of illegal activity.
6. Intellectual Property Rights
6.1. You acknowledge that CHCANYS Learning and any underlying technology, courses (including course content), text, graphics, icons, photographs, scripts, links, electronic art, animations, audio, photos, images, videos (which may include sound and/or music), graphics, and other data (together with the selection and arrangement of the aforementioned works, collectively, the “CHCANYS Learning Content”) used in connection with CHCANYS Learning, and all CHCANYS Learning Content are provided by the Company or third-party providers and are the intellectual property of the Company and/or such third parties. CHCANYS Learning Content is owned or licensed by the Company and/or third parties and is protected under copyright, trademark, and other proprietary and intellectual property right laws.
6.2. You may not copy, reproduce, publish, distribute, modify, create derivative works of, rent, lease, sell, transfer, display, broadcast, transmit, compile or collect in a database, or in any manner commercially exploit any part of CHCANYS Learning and CHCANYS Learning Content. You may not store any portion of CHCANYS Learning and CHCANYS Learning Content owned by, or licensed to the Company in any form, whether archival files, computer-readable files, or any other medium. You also may not “mirror” CHCANYS Learning or any CHCANYS Learning Content on any other server, website, application, platform, technology, etc.
6.3. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of CHCANYS Learning and/or CHCANYS Learning Content, your right to use CHCANYS Learning will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to CHCANYS Learning or any CHCANYS Learning Content is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of any CHCANYS Learning Content not expressly permitted by these Terms & Conditions is a breach of these Terms & Conditions and may violate copyright, trademark, and other laws.
6.4. The Company name, the term CHCANYS Learning, the Company logo, and all related names, logos, domain names, product and service names, designs, and slogans are trademarks of the Company. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on CHCANYS Learning are the trademarks of their respective owners.
7. Reliance on Courses Posted
7.1. The courses presented on or through CHCANYS Learning is made available solely for personal, educational information purposes. We do not warrant the accuracy, completeness, or usefulness of any courses nor any course content. Any reliance you place on such courses is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to CHCANYS Learning, or by anyone who may be informed of any of its contents.
7.2. You understand and agree that, unless otherwise expressly stated, any courses you take and complete on CHCANYS Learning may not be applicable to your program, degree, or professional requirements and/or provide you with any credits recognized by a third party.
8. Third Party Communications, Services, and Content
8.1. The Company disclaims all liability for any Third Party Communications you may receive or any actions you may take or refrain from taking as a result of any Third Party Communications. You are solely responsible for assessing and verifying the identity and trustworthiness of the source and content of any Third Party Communications. The Company assumes no responsibility for verifying, and makes no representations or warranties regarding, the identity or trustworthiness of the source or content of any Third Party Communications. As used herein, "Third Party Communications" means any communications directed to you from any third party directly or indirectly in connection with CHCANYS Learning.
8.2. CHCANYS Learning may contain links through content, suggestions, advertising, and otherwise to third party websites, apps, platforms, and other resources (collectively (“Third Party Sites”). These links are made to Third Party Sites that are not under the control of, reviewed, monitored, or endorsed by the Company, and as such the Company is not responsible or liable for any information, content, or any other materials of any linked website. Such links are provided for convenience and/or general information purposes only. You agree that you are solely responsible and liable for any interactions you may have with such linked Third Party Sites. You acknowledge and agree that the Company shall not be responsible or liable, both directly or indirectly, for any damage or loss whatsoever caused, or alleged to be caused by or in connection with the use of or reliance upon any such third-party goods or services, or content, available through any Third Party Sites.
9. Our Liability, Disclaimer of Warranty, And Limitations Of Liability
9.1. You understand that we cannot and do not guarantee or warrant CHCANYS Learning will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.
9.2. CHCANYS LEARNING IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE. IN NO EVENT WILL THE COMPANY OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF YOUR USE OF OR INABILITY TO ACCESS CHCANYS LEARNING OR USE CHCANYS LEARNING, INCLUDING WITHOUT LIMITATION, LOSS OF REVENUE OR ANTICIPATED PROFITS, LOSS OF GOODWILL, LOST BUSINESS, LOST DATA, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER DAMAGES OR LOSSES THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETIONS OF FILES, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT LIMITED TO ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO CHCANYS LEARNING’S RECORDS, PROGRAMS, OR SERVICES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF CHCANYS LEARNING, OR WITH ANY OF THESE TERMS & CONDITIONS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING CHCANYS LEARNING.
9.3. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY SITE LINKED TO IT.
9.4. YOUR USE OF CHCANYS LEARNING, INCLUDING ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH CHCANYS LEARNING, IS AT YOUR OWN RISK. CHCANYS LEARNING, INCLUDING ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH CHCANYS LEARNING ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE. WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT CHCANYS LEARNING, INCLUDING ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH CHCANYS LEARNING, WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT CHCANYS LEARNING IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT CHCANYS LEARNING MEETS YOUR NEEDS OR EXPECTATIONS.
9.5. TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, CHCANYS LEARNING, INCLUDING ANY CONTENT ON CHCANYS LEARNING, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
9.6. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES CHCANYS LEARNING’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
9.7. ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS & CONDITIONS OR THE WEBSITE MUST BE COMMENCED WITHIN THREE (3) MONTHS AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.
10. Indemnification
10.1. You agree to defend, indemnify, and hold harmless the Company and its service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (i) your violation of these Terms & Conditions, (ii) your use of CHCANYS Learning, (iii) your use of any information obtained from CHCANYS Learning, and (iv) any claim of defamation, invasion of privacy, right of publicity, infringement of intellectual property or other proprietary rights relating to your use of CHCANYS Learning.
11. Miscellaneous
11.1. This Terms & Conditions shall be governed by and construed in accordance with the laws of the State of New York, U.S.A. applicable to agreements executed and fully performed therein. It is agreed that any action or proceeding which involves a controversy will be brought only in a state court or the federal Southern District of New York.
11.2. If any provision of this Agreement is determined by any court of competent jurisdiction to be unenforceable, such provision shall be interpreted to have the broadest application as shall be enforceable. The unenforceability of any particular provision of this Agreement shall not affect any other provision hereof, which shall continue in full force and effect.
11.3. No waiver by the Company of any term or condition set out in these Terms & Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms & Conditions shall not constitute a waiver of such right or provision.
11.4. Unless otherwise stated, all feedback, comments, requests for technical support, and other communications relating to CHCANYS Learning should be directed to support@chcanys.org.
11.5. The Terms & Conditions and our Privacy Policy constitute the sole and entire agreement between you and the Company regarding CHCANYS Learning and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding CHCANYS Learning.

Because CHCANYS Learning requires registered users to provide unique identifiers such as their username and password, you are responsible for keeping such username and password information confidential. Although we do our best to protect your personal information, we cannot guarantee the security of such personal information transmitted 100% of the time. Data Retention
We will retain your information for as long as your account is active with CHCANYS Learning. If you no longer want to use CHCANYS Learning, you may close your account. However, after closing your account, we may retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our obligations and agreements.
